I

Name and seat

Minima Academy of Medicine is an association under Articles 60 et seq. of the Swiss Civil Code, seated in Geneva, of unlimited duration, politically and religiously neutral.

II

Purpose

The Academy advances medical subtraction under the principle of Minimum Necessary Care. An intervention is removable only where evidence shows outcomes without it are not inferior. The Academy never advocates withholding treatment for cost. It is international and not limited to any specialty, procedure, institution or country.

III

Funds and fees

The Academy pursues no commercial activity, holds no bank account and never charges any fee. Funds are paid by funders directly to beneficiaries. Members pay no fees and bear no personal liability.

IV

Ordinary Members, Founding Members and Council

The Academy has two kinds of members. Ordinary Members: no more than twelve, admitted by the Secretary-General, without a seat or vote. Founding Members: no more than seven, admitted by the Secretary-General, one of whom is the Chair; founding membership is for life. All Founding Members together form the Council, the supreme organ. The Chair chairs the Council and represents the Academy publicly. Each Founding Member has one vote; decisions are by simple majority unless unanimity is required. Meetings may be held in person, by video or in writing.

V

Secretary-General

The Secretary-General is appointed for life and signs these Articles as a constituting member, without a Founding Member seat or vote. The Secretary-General manages the Academy, may engage third parties, and raises funds for the Academy and the Minima Prize.

VI

The Minima Prize

The Academy awards The Minima Prize of USD 1,000,000, with a medal and diploma, paid by funders directly to the laureates. The Council selects the laureates; at most three per prize. Founding Members and the Secretary-General are not eligible. The Council may adopt prize rules and add further prizes.

VII

Names

The names “Minima Academy of Medicine” and “Minima Prize” belong to the Academy, which may license them to third parties.

VIII

Amendments

These Articles may be amended by unanimous decision of the Council.
